     The  Defendant,  Smyly Autos, Inc., through its  attorney  of
record,  pursuant to Mass.R.Civ.P., Rule 68 makes  this  Offer  of
Judgment to the Plaintiff. The Defendant offers to allow Plaintiff
to  take judgment against it in the sum of seven hundred and fifty
dollars  ($750.00) excluding interests and costs.  This  offer  is
made  in accordance with the provisions of the Massachusetts Rules
of  Civil  Procedure, as well as, Massachusetts General Laws,  Ch.
321, ¤88.

     If this offer is not accepted within ten (10) days of service
of  the  same upon the Plaintiff, it shall be deemed to have  been
withdrawn  by  the  Defendant. If the Plaintiff receives  judgment
exclusive interest from the date of this offer that he found  less
favorable  than  this  offer  the Plaintiff  must  pay  the  costs
incurred   by   the  Defendant  after  making  this   offer.   See
Mass.R.Civ.P., Rule 68.
